1. Agreement to Terms

By accessing or using the Subscribely mobile application ("the App", "Service", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Subscribely. We reserve the right to modify these Terms at any time, and we will notify you of any changes by updating the "Last Updated" date and posting the new Terms in the App.

2. Description of Service

Subscribely is a subscription tracking and management application that allows users to:

• Track and manage recurring subscriptions
• Receive renewal reminders and notifications
• Sync subscription data across multiple devices
• View analytics and insights about subscription spending
• Export subscription data
• Access Premium features through paid subscriptions

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing a valid email address, a secure password, and optional profile information.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, all activities that occur under your account, notifying us immediately of any unauthorized access or security breach, and ensuring your account information remains accurate and up-to-date.

3.3 Account Eligibility

You must be at least 13 years old to create an account. If you are under 18, you represent that you have permission from a parent or legal guardian to use the Service.

4. Subscription Tiers and Pricing

4.1 Free Tier

Price: $0.00 | Limit: Up to 5 subscriptions | Features: Cloud sync, renewal reminders, basic analytics, CSV export | Term: Unlimited

4.2 Premium Monthly

Price: $4.99/month | Features: Unlimited subscriptions, all Free features, priority support | Cancellation: Anytime; access continues until end of billing period

4.3 Premium Annual

Price: $39/year ($3.25/month) | Savings: $19.88/year (33% off) | Features: Same as Premium Monthly

5. Payment Terms

5.1 Payment Processing

All payments are processed securely through Stripe. We do not store your credit card information. By subscribing, you agree to Stripe's terms of service.

5.2 Accepted Payment Methods

Credit cards (Visa, Mastercard, Amex, Discover), debit cards, Apple Pay (iOS), and Google Pay (Android).

5.3 Billing Cycle

Monthly plans charge on the same day each month. Annual plans charge on your anniversary date. First charge occurs immediately upon subscription.

5.4 Price Changes

Existing subscribers are grandfathered at their current price. We will notify you 30 days before any price increase.

5.5 Taxes

All prices are in USD and exclude applicable taxes. You are responsible for any sales tax or VAT based on your location.

6. Cancellation and Refund Policy

6.1 Cancellation

Cancel anytime through Settings → Subscription Management or email support@subscribely.app. You retain Premium access until the end of your billing period and are automatically downgraded to Free tier.

6.2 Refund Policy

7-Day Money-Back Guarantee: Full refund available within 7 days of purchase, no questions asked. Request through the App or email. Refunds processed within 24-48 hours, funds appear in 5-7 business days.

After 7 Days: No refunds available. You may cancel to prevent future charges.

6.3 Failed Payments

If payment fails, you receive email notification and have a 3-day grace period. Reminder emails sent on Day 1, 2, and 3. After 3 days, automatic downgrade to Free tier. All data is preserved.

7. Data Downgrade Policy

When downgrading to Free: All data is preserved. If you have more than 5 subscriptions, they become read-only. Delete subscriptions to get under 5 or resubscribe to Premium. You can export data anytime.

8. Acceptable Use Policy

8.1 Permitted Use

Use the Service only for lawful purposes and personal subscription tracking.

8.2 Prohibited Activities

You agree NOT to: use for illegal purposes, infringe intellectual property rights, transmit harmful code, gain unauthorized access, use automated systems, reverse engineer, share account credentials, or use commercially without permission.

8.3 Account Termination

We may suspend or terminate your account for Terms violations or illegal activity. You will be notified and given opportunity to export your data.

9. Intellectual Property Rights

9.1 Our Rights

The Service and all content is owned by Subscribely and protected by copyright, trademark, and intellectual property laws.

9.2 Your License

Limited, non-exclusive, non-transferable, revocable license for personal use. No right to sell, modify, copy, or commercially exploit.

9.3 Your Data

You retain all rights to your subscription data. You grant us a license to store and process it solely for providing the Service.

10. Privacy and Data Protection

Your use is governed by our Privacy Policy. Please review it to understand data collection and protection.

11. Disclaimers and Limitations of Liability

11.1 Service Availability

We strive for uninterrupted service but do not guarantee availability, error-free operation, immediate defect correction, or that it meets your specific requirements.

11.2 "AS IS" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, AND NON-INFRINGEMENT.

11.3 Limitation of Liability

SUBSCRIBELY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS/DATA, SERVICE INTERRUPTIONS, OR UNAUTHORIZED ACCESS. TOTAL LIABILITY SHALL NOT EXCEED AMOUNT PAID IN PRIOR 12 MONTHS OR $100, WHICHEVER IS GREATER.

11.4 Indemnification

You agree to indemnify Subscribely from claims arising from your use, Terms violations, third-party rights violations, or law violations.

12. Third-Party Services

The Service may link to third-party websites or services (like Stripe). We are not responsible for their content, privacy policies, or practices.

13. Changes to the Service

We reserve the right to modify features, change Free tier limitations, add/remove Premium features, or suspend for maintenance. We will make reasonable efforts to notify users of significant changes.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by United States and California law.

14.2 Dispute Resolution

Contact support@subscribely.app first to resolve disputes informally.

14.3 Arbitration

Unresolved disputes shall be settled by binding arbitration per American Arbitration Association rules in California. You waive right to jury trial.

14.4 Class Action Waiver

Claims brought only in individual capacity, not as class action or representative proceeding.

15. Termination

15.1 By You

Terminate anytime via Settings → Delete Account or email support@subscribely.app.

15.2 By Us

We may terminate for Terms violations, fraudulent activity, legal requirements, or service discontinuation.

15.3 Effect of Termination

Upon termination: access ceases, data deleted within 30 days, opportunity to export data, outstanding payments remain due, certain provisions survive.

16. Miscellaneous

16.1 Entire Agreement

These Terms and Privacy Policy constitute the entire agreement.

16.2 Severability

If any provision is unenforceable, remaining provisions continue in effect.

16.3 Waiver

Failure to enforce rights is not a waiver.

16.4 Assignment

You may not assign these Terms. We may assign without restriction.

16.5 Force Majeure

Not liable for failure due to circumstances beyond reasonable control (acts of God, war, natural disasters, Internet outages).
